Terms & Conditions
These terms and conditions (the “Terms”) govern your access to and use of SimpliHeat — the website, the design application and any related services (together, the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.
SimpliHeat is operated by [COMPANY LEGAL NAME] Ltd (company number [NUMBER]) whose registered office is at [REGISTERED ADDRESS] (“SimpliHeat”, “we”, “our” or “us”). You can reach us at hello@simpliheat.app.
1.What SimpliHeat is
SimpliHeat is a software tool that helps qualified heating professionals carry out heat-loss calculations and draft heat-pump system designs and client proposals. Its calculation methods are informed by recognised guidance and standards, including MCS MIS 3005, BS EN 12831, the CIBSE Domestic Heating Design Guide and, for the sound assessment, MCS 020.
SimpliHeat is a design-assistance and productivity tool. It is not a certification body, an MCS umbrella scheme, a manufacturer, an installer or a provider of professional design or engineering services. Using SimpliHeat does not make a design “MCS certified”, and it does not replace a full on-site survey, professional design, manufacturer guidance, or the checks required by MCS, Building Regulations or any other applicable standard or law.
2.Design & installation responsibility
This section is important, so we have set it out plainly.
All figures, suggestions, schedules, sizing, sound results, pipe sizes, grant amounts and quotations produced by SimpliHeat are indicative estimates provided to support your own professional judgement. They are not a substitute for, and must always be checked against, a full MCS survey, manufacturer datasheets and your own engineering checks at the relevant flow temperature.
As the user, you are solely responsible for:
- the accuracy and completeness of the information and measurements you enter;
- reviewing, verifying and, where necessary, correcting every output before relying on it or sharing it with a customer;
- the final system design, specification and sizing decisions;
- the supply, installation, commissioning and certification of the heating system; and
- compliance with MCS, the Building Regulations, manufacturer instructions, and all other applicable standards, codes and laws.
SimpliHeat does not carry out, supervise, approve, certify or take responsibility for the design or installation of any heating system, and accepts no liability for them. Responsibility for the design, performance, installation and certification of a heat-pump system rests with the MCS-certified installer or umbrella scheme responsible for the works, and/or the relevant qualified professional — not with SimpliHeat. Any proposal you generate and issue is your document, issued under your name and your professional responsibility.
3.Your account
You must provide accurate registration details and keep your password secure. You are responsible for all activity that takes place under your account, and you must tell us promptly if you believe your account has been compromised. You must be at least 18 years old and using the Service in the course of a trade, business or profession. You are responsible for ensuring that everyone you allow to use your account complies with these Terms.
4.Acceptable use
You agree not to: use the Service for any unlawful, fraudulent or misleading purpose; misrepresent an indicative output as a certified or guaranteed design; attempt to access, disrupt, reverse-engineer, scrape or copy the Service or its underlying software except to the extent the law expressly permits; upload anything that infringes another person’s rights, is unlawful, or contains malicious code; or resell, sublicense or provide the Service to third parties except as expressly permitted. We may set fair-use limits and may withdraw access to anyone misusing the Service.
5.Your data & inputs
You keep ownership of the project data, plans, photographs and customer information you put into SimpliHeat (“Your Content”). You grant us a limited licence to host, process and display Your Content for the purpose of operating and improving the Service. You are responsible for having the right to upload Your Content (including any customer information and photographs) and for handling personal data of your own customers in line with data-protection law. You are responsible for keeping your own copies of anything important; while we take reasonable care, we are not a substitute for your own records.
6.Product & catalogue data
The Service includes a catalogue of equipment such as heat pumps, cylinders and radiators. Some catalogue data is indicative or sample data and may not reflect a specific manufacturer’s current specification. You must verify all equipment data, performance figures and availability against the manufacturer’s official datasheets before specifying or ordering. Manufacturer names, where shown, are used for identification only.
7.Intellectual property
The Service, including its software, design, text, graphics, the SimpliHeat name and logo, and all related intellectual property, belongs to SimpliHeat or its licensors and is protected by law. We grant you a non-exclusive, non-transferable right to use the Service in accordance with these Terms for as long as your account is active. You may use proposals and outputs you generate for your own business purposes, including issuing them to your customers. All rights not expressly granted are reserved.
8.Data protection
We handle personal data in accordance with UK data-protection law (the UK GDPR and the Data Protection Act 2018). Our Privacy Policy explains what we collect, why, and your rights — please read it alongside these Terms. Where you upload personal data about your own customers, you are the controller of that data and we act as your processor in respect of it.
9.Availability & “as is”
We work hard to keep the Service available and accurate, but we provide it on an “as is” and “as available” basis. We do not guarantee that the Service will be uninterrupted, error-free, or that every calculation, suggestion or figure is free from error, and we may change, suspend or withdraw features. To the fullest extent permitted by law, we exclude all warranties, conditions and representations not expressly set out in these Terms, including any implied warranties of satisfactory quality, fitness for a particular purpose, or accuracy of outputs.
10.Limitation of liability
Nothing in these Terms limits or excludes our liability for anything that cannot lawfully be limited or excluded — including death or personal injury caused by our negligence, or fraud or fraudulent misrepresentation.
Subject to that, and to the fullest extent permitted by law:
- we are not liable for any loss or damage arising from your reliance on any output of the Service, or from any design or installation decision you make;
- we are not liable for indirect, special or consequential loss, or for loss of profit, revenue, contracts, goodwill, data or anticipated savings; and
- our total liability to you arising out of or in connection with the Service and these Terms, whether in contract, tort (including negligence) or otherwise, is limited in aggregate to the greater of (a) the fees you paid us for the Service in the twelve months before the claim arose, or (b) £100.
You accept that this allocation of risk is reasonable given that the Service is a low-cost tool that supports — but does not replace — your professional design responsibility.
11.Indemnity
You agree to indemnify us against any claims, losses and reasonable costs we incur arising out of your use of the Service in breach of these Terms, your breach of any applicable standard or law, or any claim by a customer or third party relating to a design, proposal or installation you produced or carried out.
12.Plans & payment
Some features are free and others require a paid subscription. Pricing, plan limits and what each plan includes are shown on our website and may change; we will give reasonable notice of changes that affect an active paid subscription. Fees are payable in advance and, except where the law requires otherwise, are non-refundable for the period already started. We may change or end free tiers at any time.
13.Changes
We may update the Service and these Terms from time to time. If we make a material change to these Terms, we will take reasonable steps to let you know (for example, by a notice on the site or by email). Your continued use of the Service after a change takes effect means you accept the updated Terms.
14.Suspension & termination
You may stop using the Service and close your account at any time. We may suspend or end your access if you breach these Terms, if we reasonably suspect misuse, or if we stop providing the Service. On termination, your right to use the Service ends; the sections that by their nature should survive (including responsibility, intellectual property, liability, indemnity and governing law) will continue to apply.
15.Governing law
These Terms and any dispute arising out of them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction, save that if you are a consumer you may also have rights to bring proceedings in your local courts.
